The Board is asked to ratify and note exercise of emergency powers on 10th and 25th of August 2023 as required by its Trust Standing Orders Section 34.3 | |||
Executive Summary | |||
The Trust Board has a mechanism for making timely decisions outside its scheduled meetings under its emergency powers facilitating service continuity and mitigating potential resulting risks due to delayed decision making. Trust Standing Orders Section 34.3* The powers which the Board has retained for itself within these Standing Orders may in emergency be exercised by the Chief Executive and the Chair acting jointly and, if possible, after having consulted with at least two Non-Executive Directors. The exercise of such powers by the Chief Executive and the Chair shall be reported to the next formal meeting of the Board held in public for ratification. Notice requesting exercising of emergency powers was issued on two occasions in the month of August by the secretariat, to NEDs seeking approval of a contract to facilitate service continuity in the Strategy, Culture and Education directorate on 10 August 2023 and Make Ready Hub business case to procure a building contractor to construct a new Make Ready Hub facility in Ipswich on 25 August 2023. As part of consultation, there were sufficient responses from non-executive directors approving the requests on both occasions. A minimum of two voting NEDs are required to approve exercise of emergency powers by Chief Executive and Chair (or Senior Independent Director acting on behalf of the Trust Chair) as part of consultation. Merits on use of such powers are discussed in the Private Board meeting due to commercial sensitivity of information involved. Therefore, the Board is asked to ratify exercise of such powers on the 10 and 25th August 2023 as hereby required by its Trust Board Standing Orders Section 34.3. |
